1. Acceptance of Terms

By downloading, installing, or using the Cradled mobile application or the cradledapp.com website (together, the “Service”), you agree to be bound by these Terms of Use (“Terms”). The Service also includes public pages for paying invoices and signing contracts — by completing one of those actions, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Cradled is a perinatal support platform with two related products:

  • The mobile application helps expecting and new mothers coordinate postpartum support from their personal network (“village”). It facilitates communication, task coordination, and wellbeing check-ins between mothers, their partners, village members, and care providers.
  • The Care Provider web dashboard at cradledapp.com helps doulas, lactation consultants, and other birth workers manage their practice — scheduling, invoicing, contracts, client coordination, and (where the client uses the mobile app) a connected view of their client's wellbeing trends.

3. Not a Medical Service

Cradled is not a medical device, clinical tool, or healthcare service. The App does not provide medical advice, diagnoses, or treatment. Daily check-in data and weekly content are for personal awareness and communication purposes only.

The content in the App, including weekly tips and guidance, is written for informational and supportive purposes. It is not a substitute for professional medical or mental health care.

4. Account Registration

To use the App, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 13 years of age to create an account. If you are under 18, you represent that you have your parent or guardian's consent.

5. User Roles

The App supports four user roles:

  • Mom: The primary user. Controls village membership, sharing preferences, and task priorities.
  • Partner: Invited by mom. Has their own dashboard, check-in, and access to the postpartum plan.
  • Village member: Invited by mom or partner. Can claim tasks, send encouragement, and view village activity.
  • Care provider: A professional (doula, therapist, etc.) who connects with mom for a clinical or supportive view.

6. User Conduct

You agree not to:

  • Use the App for any unlawful purpose
  • Share another user's check-in data or personal information outside the App without their consent
  • Impersonate another person or misrepresent your role
  • Attempt to access another user's account or data
  • Use the App to harass, abuse, or harm another person
  • Interfere with or disrupt the App's services or servers

7. Subscriptions and Payments

Cradled offers a free tier and paid subscriptions for both family users and Care Providers, with billing handled differently depending on the user type.

For family users (Mom, Partner, Village):

  • Subscriptions are billed through the Apple App Store or Google Play Store. Payment terms are governed by the respective platform.
  • Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period.
  • You can manage or cancel your subscription in your device's settings or through the App's Account page.
  • Refunds are handled by Apple or Google according to their respective policies.

For Care Providers:

  • The Care Provider web dashboard is free to use with up to one (1) active client. Managing more than one client requires a paid subscription, billed by Cradled through Stripe.
  • Care Provider subscriptions auto-renew until cancelled. You can cancel from your Account settings or by emailing [email protected]. Refunds are at our reasonable discretion within 14 days of billing.
  • Care Providers use Stripe Connect to invoice their own clients and receive payment directly from those clients. Cradled does not take a percentage of these payments. Care Providers are responsible for their own pricing, refund policies, tax obligations, and any consumer-protection obligations to their clients.

If you downgrade from a paid plan, you retain access to paid features until the end of your billing period. Existing village members and Care Provider connections are never removed due to a billing change.

8. Privacy

Your privacy is important to us. Please review our Privacy Policy for information about how we collect, use, and protect your data.

9. Content and Intellectual Property

The App, including its design, content, features, and code, is owned by Cradled and protected by copyright and intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the App.

Content you create within the App (check-in data, messages, plan responses) remains yours. By using the App, you grant us a limited license to store and process this content as necessary to provide the service.

10. Care Provider Disclaimer

Cradled facilitates a connection between mothers and their existing care providers. We do not verify, credential, or endorse any care provider who uses the App. The relationship between a mother and her care provider exists independently of the App.

Care providers are responsible for their own professional conduct and compliance with applicable regulations.

11. Professional Users (Regulated Practitioners)

This section applies to users who create a Care Provider account to support clients in a professional capacity — including counsellors, therapists, psychotherapists, clinical social workers, registered counselling therapists, licensed mental-health professionals, midwives, nurses, and any other licensed or regulated health profession (“Professional Users”).

11.1 Not a HIPAA Business Associate

Cradled is not a HIPAA-covered entity or HIPAA Business Associate. We have not signed Business Associate Agreements (BAAs) with Professional Users, and we do not offer a HIPAA-compliant service tier at this time. Our infrastructure, subprocessors, logging, and breach-notification processes have not been designed or audited to satisfy HIPAA's Security Rule, Privacy Rule, or Breach Notification Rule.

If you are a U.S.-based Professional User subject to HIPAA, you must not input Protected Health Information (PHI)— as that term is defined at 45 CFR §160.103 — into the App. This includes, without limitation, diagnostic notes, treatment plans, session documentation at a clinical-record level of detail, regulated medical records, or any other information you would be required to store in a HIPAA-compliant system.

11.2 Canadian Privacy Legislation

Professional Users practicing in Canada are subject to federal and provincial privacy legislation, including PIPEDA, PHIPA (Ontario), PIPA (British Columbia and Alberta), the Act Respecting the Protection of Personal Information in the Private Sector (Quebec), and any applicable college or professional-body regulations. Cradled has not been certified against any of these frameworks. You are responsible for determining whether your use of the App is permissible under the rules of your regulatory college and any applicable provincial legislation.

11.3 Intended Use

Cradled is designed as a practice management and client-facing tool. Appropriate uses include: scheduling, intake forms, invoicing, contracts, client-facing care plans, session summaries shared with the client, and aggregate wellbeing trends the client has voluntarily shared with you.

Cradled is not intended as an electronic health record (EHR) or electronic medical record (EMR) system. You are expected to maintain a separate, appropriate records system for any clinical documentation your profession or jurisdiction requires you to keep.

11.4 Your Representations

By creating a Care Provider account, you represent and warrant that:

  • You have read and understood this Section 11 and the corresponding provisions of our Privacy Policy.
  • You will not input PHI or other regulated clinical records into the App.
  • You will maintain a separate, compliant records system for any information your regulatory college, licensing body, or applicable law requires you to keep.
  • You will not rely on the App as your sole source of client or clinical records.
  • You will inform your clients of the tool you are using, the data it processes, and the sharing permissions they control.

11.5 Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Cradled, its founders, employees, and affiliates from any claims, penalties, damages, fines, or costs (including reasonable legal fees) arising from: (a) your input of PHI or regulated clinical records into the App in violation of this Section 11; (b) your failure to maintain the separate compliant records system described above; or (c) your breach of any applicable professional, college, or regulatory obligation.

11.6 Data Processing Agreements

Professional Users may request a Data Processing Agreement (DPA) covering Cradled's processing of personal information on your behalf. Contact us at [email protected] to request a copy. A current list of our subprocessors is available at /subprocessors.

12. Availability and Changes

We reserve the right to modify, suspend, or discontinue the App (or any part of it) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the new Terms.

13. Limitation of Liability

To the maximum extent permitted by law, Cradled and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.

The App is provided “as is” and “as available” without warranties of any kind, either express or implied.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the courts of British Columbia for any disputes arising from these Terms or your use of the Service.
